These Terms of Use (hereafter referred to as the “Terms”) govern your (“User”, “you”) access to and use of the services provided by Marketexchange (“we”, “us”, “our”), including the website (“Platform”), associated technology, and related applications (such as mobile apps). By using the services offered through Marketexchange, you agree to comply with these Terms.

MarketExchange is owned by DevSolvo LTD, registration number 24715. However, certain services, including cryptocurrency exchange services, may be provided by our other operating companies or by the operating companies of our partners.

1. Agreement and Modifications

1.1 These Terms constitute a binding agreement between you and Marketexchange from the moment you access the Platform or utilize the Services.

1.2 We reserve the right to update or revise these Terms at our sole discretion. Your continued use of the Services after any modification implies acceptance of the revised Terms.

1.3 If you disagree with any part of these Terms, you must discontinue your use of the Services immediately.

2. Description of Services

2.1 The Platform provides a service allowing users to exchange digital assets, commonly known as cryptocurrencies, with one another.

2.2 The term “Exchange” refers to the conversion of one type of cryptocurrency to another, conducted through third-party platforms. Exchange rates are dynamic and may not always match rates available on external sources.

2.2.1 Fixed Rate Transactions. The exchange rate is locked for a limited period specified on the Platform. If the User sends funds after the expiration of the fixed-rate period, sends an incorrect amount, uses an incorrect blockchain network, or sends funds in multiple transactions, MarketExchange reserves the right to:

  • recalculate the exchange at the current market rate;
  • issue a refund after deduction of applicable network, liquidity provider and processing fees; or
  • reject the transaction if processing is technically impossible.

2.2.2 Floating Rate Transactions. Floating-rate exchanges are executed at the market rate available when the cryptocurrency is received by the liquidity provider. MarketExchange is not responsible for exchange rate fluctuations occurring before completion of the transaction.

2.2.3 If the exchange direction involves a floating rate, it is recalculated only downward. The executor is not responsible for or bears expenses for transaction delays on the client’s side.

2.3 “Cryptocurrencies” are blockchain-based digital assets, including but not limited to Bitcoin, Ethereum, and other similar tokens, which operate independently of traditional financial systems.

2.4 Each transaction involves a unique identifier generated by the system, encompassing details about the cryptocurrency pair, user preferences, and recipient wallet.

2.5 USERS AGREE TO RELEASE MARKETEXCHANGE FROM ANY LIABILITY ARISING FROM ERRORS OR FAILURES RELATED TO TRANSACTION PROCESSING, INCLUDING BUT NOT LIMITED TO INCORRECT ADDRESSES OR SYSTEM MALFUNCTIONS.

2.6 Marketexchange does not offer custodial services for cryptocurrencies. Any delays caused by compliance checks or technical issues are part of the process and accepted by the user.

2.7 Anti-Money Laundering (AML) and Know Your Customer (KYC) checks are mandatory for all transactions. Users agree to comply with all identity verification requests and procedures established in our AML/KYC Policy, which forms an integral part of these Terms.

2.8 Transactions flagged for potential involvement in unlawful activities may be suspended or denied at our discretion.

2.9 MarketExchange reserves the right, at its sole discretion and without prior notice, to suspend, refuse, delay, or terminate any transaction or provision of services where required by applicable law, AML/KYC requirements, sanctions compliance, fraud prevention measures, or internal risk management procedures.

2.10 Refunds are processed only where technically possible and strictly to the original wallet address from which the cryptocurrency was received. For transactions suspended due to AML/KYC checks, refunds are processed only after successful completion of the required verification procedure, subject to an administrative processing fee of up to 5% plus applicable network and liquidity provider fees. Refunds are strictly not permitted where assets are blocked by competent authorities, law enforcement agencies, or under court orders.

2.11 Any claim relating to an exchange transaction must be submitted within seven (7) business days after completion of the transaction. The User must provide complete information together with supporting evidence. Claims submitted after the above period or without sufficient supporting documentation may be rejected.

2.12 The User is solely responsible for ensuring that the wallet address, blockchain network, MEMO, Destination Tag, Payment ID, or any other required transaction identifiers are entered correctly. MarketExchange is not responsible for losses resulting from incorrect transaction details. Recovery of incorrectly sent funds, where technically possible, may be subject to additional fees.

3. User Obligations

3.1 The Service is not provided to, and is not intended for, persons who are citizens, residents or tax residents of, or who are located, incorporated or established in, or acting from, the member states of the European Union and the European Economic Area (all 27 EU member states, as well as Norway, Iceland and Liechtenstein; the “EU/EEA”). Such persons may not create an account, complete verification or use the Service.

3.2 You affirm that you are not located in or a resident of the EU/EEA (as defined in Section 3.1 above) or any jurisdiction where use of these Services is prohibited by law or international sanctions.

3.3 By using the Service, the User represents and warrants that they are not a citizen, resident or tax resident of the EU/EEA, are not located in the EU/EEA, are not incorporated or established in and do not act from the EU/EEA, and do not act in the interest of or on behalf of such persons. These representations are deemed to be repeated each time the Service is used.

3.4 You agree not to:

  • Use the Services for any unlawful activities;
  • Provide false or inaccurate information during transactions;
  • Attempt to tamper with or reverse-engineer any aspect of the Platform;
  • Employ unauthorized tools or scripts to access the Services.

3.5 The Company may, at any time and without giving reasons, refuse access, suspend or block access, refuse to execute a transaction, and terminate the relationship with the User where indicators of a connection to the EU/EEA are detected (including by IP address, geolocation, payment attributes or verification data). The use of VPNs, proxy servers, anonymisers or any other means of circumventing territorial restrictions is prohibited and constitutes an independent ground for blocking and termination.

3.6 The Service is not directed at the EU/EEA; the Company does not carry out, and does not procure any third party to carry out, any marketing, advertising or promotion of the Service addressed to persons in the EU/EEA. The provision of services to a person connected with the EU/EEA is possible solely at that person’s own exclusive initiative. The Company does not offer or promote to such person any other services or crypto-assets, including of the “same type”, outside the specific transaction initiated by that person.

3.7 YOU AGREE TO INDEMNIFY AND HOLD MARKETEXCHANGE HARMLESS AGAINST ANY CLAIMS OR LOSSES ARISING FROM YOUR VIOLATION OF THESE TERMS.

3.8 Affiliates must not market, promote, advertise, distribute links, target keywords, run paid campaigns or otherwise solicit users located in or resident in the EU/EEA. The Company may reject referred traffic, cancel commissions and terminate the affiliate relationship where the affiliate targets or refers EU/EEA users.

4. Third-Party Content and Responsibility

4.1 The Platform may provide links to third-party content or services. Marketexchange is not responsible for the accuracy or legality of such content and assumes no liability for transactions conducted through third-party platforms.

4.2 Any fees or obligations associated with third-party services are the responsibility of the user.

5. Intellectual Property Rights

5.1 All intellectual property, including designs, trademarks, and code related to the Services, remains the exclusive property of Marketexchange.

5.2 Users are granted a non-transferable, limited license to access and use the Services for personal purposes only. Unauthorized reproduction or distribution is strictly prohibited.

6. Limitation of Liability

6.1 The Services are provided on an “as is” basis, without any guarantees or warranties, express or implied.

6.2 Marketexchange is not liable for losses caused by:

  • Technical issues or interruptions;
  • Errors made by the user during transactions;
  • External factors beyond our control.

6.3 Users are responsible for ensuring all transaction details are accurate before initiating an exchange.

7. General Provisions

7.1 These Terms constitute the full agreement between the user and Marketexchange regarding the Services.

7.2 In the event of a conflict between these Terms and any other agreements, these Terms shall take precedence unless explicitly stated otherwise.

7.3 If any provision of these Terms is deemed invalid, the remaining provisions shall remain enforceable.

7.4. By specifying an email address on the Marketexchange website, the User agrees to the receipt of marketing and advertising notifications from Marketexchange. Consent may be withdrawn by the User at any given time through the unsubscribe mechanism included in any received email.

7.5 Users may not assign or transfer their rights under these Terms without prior written consent. Marketexchange reserves the right to transfer its rights and obligations without notice.

7.6 By using the Platform, the User acknowledges that personal data may be collected and processed in accordance with the MarketExchange Privacy Policy. The Privacy Policy forms an integral part of these Terms.

By continuing to access and use the Services, you acknowledge that you have read, understood, and agree to abide by these Terms.
